The Level Up Community Program (the "Program") is offered by tasc Performance. (“tasc”). Individuals who are accepted into the Program (each, a “Member”) are responsible for remaining familiar with these Terms and Conditions (the “Terms”). These Terms apply to each Member’s participation in the Program. By participating in the Program, you (“You”) agree to be bound by these Terms.

PROGRAM DETAILS

Eligibility Criteria

The Level Up Community Program is a community of certified and active fitness professionals—including trainers, studio owners, coaches and athletes—who motivate and inspire others through movement. Community Members gain access to a range of perks and benefits such as discounts, sneak peeks, and more.

The Program is open exclusively to individuals who are certified fitness instructors, certified private trainers, professional athletes, college athletes, studio/gym owners, and professional coaches who are at least 18 years old and who have reached the age of majority in the jurisdiction where they reside. To qualify for the Program, applicants must meet all of the following conditions:

1. Applicants must reside in the United States of America
2. Applicants must possess (and be able to submit via the application process) current certification or credentials, as applicable, in their sport or physical activity.
3. Applicants who are fitness instructors and private trainers must be actively practicing, participating, or teaching in their sport or physical activity for a minimum of three days per week.
4. The sport or physical activity must serve as the applicant’s primary occupation.
5. Use of tasc apparel must be relevant and beneficial to the applicant’s sport or physical activity.
6. Applicants who are studio owners and coaches must be actively leading individuals who are at least 18 years old and who have reached the age of majority in the jurisdiction where they reside.
7. Employees of tasc are not eligible for membership 
8. Members of the Level Up Community Program are responsible for ensuring their participation doesn’t violate any rules or regulations that they are subject to, including from their sponsorships or sport organizing bodies.

Meeting the eligibility criteria qualifies individuals to apply for membership in the Program but does not guarantee membership. Tasc may determine eligibility at its sole discretion, make exceptions, change eligibility criteria and/or refuse membership in the Level Up Community Program to any person. Tasc reserves the right to change, suspend, terminate or revoke its Level Up Community Program, your membership therein, and/or the Discount at any time, for any reason without prior notice, including for any suspected violation of these Terms or fraudulent use of membership in the Level Up Community Program.

Membership Timing
Membership in the Program is granted for a 12-month period, starting from the date of Member’s admission to the Program (a "Membership Year”). To maintain active status, Members must reapply every 12 months, regardless of previous admission, and be re-admitted to the Program by tasc. To apply, you must create an account with tasc and submit proof of eligibility through the Level Up Community Program application process, which is accessible via tasc’s official website tascperformance.com. Members must not apply for multiple Memberships in the Program. Each Member may maintain only one active membership in the Program at any time.

Member Communications

Members must clearly disclose their affiliation with tasc. The disclosure needs to be at the beginning of the content, wherever readers will see it first. For blog posts, emails, and other long-form content, include the label "Ad", "Advert" or "Advertisement" clearly and prominently at the top of the content. On social media and other short-form posts, use “#ad” within the post but make sure it is clear, prominent, upfront, timely and appropriate for the platform and format of the content (do not bury it in hashtags or put it where it can only be seen by 'clicking more'). The disclosure must be made in a manner that will travel with the content if it is shared. For example, for video content it must be within the video, and for audio content, the audio.

Discount Terms and Exclusions

Members receive a 30% discount on full-priced tasc products (exclusions apply) subject to the following limitations and exclusions:

1. Retail and E-Commerce Only: The discount may only be used on full-priced purchases made at tasc-operated retail stores and online at tasc’s owned and operated website. It does not apply to purchases made at third-party retailers of tasc products, or third-party business-to-consumer (B2C) platforms.
2. Use Restriction: The discount may only be used on purchases intended for the Member’s personal use and not by any other person. It may not be used to purchase items for others or as gifts or for resale, and Members may not share account credentials with any other person. Tasc reserves the right to monitor Members’ purchasing behavior to identify any suspected fraudulent activity or other potential violations of these Terms. If tasc, in its sole discretion, determines that a Member’s purchasing behavior indicates potential misuse of the discount or other violations of these Terms, tasc may take corrective actions, including suspension or termination of the Member’s Program membership, restriction of discount access, or other actions as deemed appropriate.
3. Savings Allowance: The discount is subject to a maximum savings allowance of 2,000 units of the currency of the country where the Member was admitted to the Program (e.g., 2,000 USD for Members) per Membership Year. Once a Member’s cumulative savings from the Program discount reaches this limit within a Membership Year, the discount will no longer apply to the Member’s purchases unless and until the Member is re-admitted to the Program for an additional Membership Year.
4. Product Exclusions: Unless otherwise communicated in writing by tasc, the discount does not apply to purchases of limited-edition products, gift cards, hats, sleepwear, collegiate apparel, or discounted products (whether by sale, markdown, clearance, or otherwise). Tasc may exclude additional products or categories of products from eligibility for the discount at its sole discretion and where permitted by law, without prior notice.
5. Combination with Other Discounts: Unless otherwise communicated in writing by tasc, the discount cannot be combined with any other discounts, coupons, promotional codes, or other offers.
6. Geographic Limitation: The discount is available only (i) at retail store locations in the country where the Member was admitted to the Program and (ii) on purchases at tasc’s owned and operated websites being shipped to the country where the Member was admitted to the Program.
7. Additional Costs: The discount does not apply to shipping and handling charges, applicable taxes, customs duties, or other additional costs.

Redemption Process

Members will input their code to apply the discount on items added to their shopping cart when logged into their account on the official tasc website. For in-store purchases, the discount will be applied once a retail store associate verifies the Member’s status using the Member’s name, email address, and a valid photo ID provided by the Member.

USE OF YOUR INFORMATION AND IMAGES

Content Release

You grant permission to the Released Party (tasc) and any transferee or licensee or any of them, to use your name, the name of your studio or fitness brand, nickname, image, likeness, and size information and utilize any photographs, motion pictures, videotapes, recordings and other references or records which may depict, record or refer to you for any purpose that are either collected taken of you by the Released Party or submitted by you to the Released Party (collectively, “Images and Identifying Information”), including commercial use by the released Party. This permission is for use anywhere in the world and on the Internet and for an unlimited period of time.

You understand and agree that you will not be compensated or receive additional consideration for consenting to the use of the Images and Identifying Information and that you will not be given a chance to receive, inspect or approve the promotional or marketing material, messages and/or content that may use the Images and Identifying Information. You hereby release the Released Party including, without limitation, all persons who took or otherwise created, recorded or modified the Images and Identifying Information, from any and all claims, actions, damages, interest, costs, expense and compensation of whatsoever kind and howsoever arising, whether known or unknown, and which you now have or at any time hereafter can, shall or may have in connection with, or in any way resulting or arising from, the Images and Identifying Information and the creation, use or disposition of them. In addition, to the extent any Submission contains your or any other person’s name, likeness, voice or biographical information ("Personal Rights"), you must comply with any applicable legislative requirements and hereby grant and will cause such other person to grant to tasc a License to (in any media, whether now known or not currently known or invented) exploit or use such Personal Rights for any advertising or marketing of tasc and services (in any media, whether now known or not currently known or invented). SUBJECT TO THE LICENSES GRANTED IN THESE TERMS OF USE, YOU RETAIN OWNERSHIP OF ANY COPYRIGHTS OR OTHER INTELLECTUAL PROPERTY RIGHTS IN YOUR SUBMISSIONS.

You represent and warrant that: (i) you own all Submissions submitted by you or otherwise have the right to grant the Licenses to tasc set forth in this section, and (ii) your Submission is accurate and not misleading and (iii) your Submissions do not violate the privacy rights, publicity rights, trademark rights, copyrights, contract rights or any other rights of any person or entity or violate any applicable law, rule, regulation or order.

Tasc Trademarks 

All trademarks, service marks, trade names, logos and trade dress of tasc whether registered or unregistered (collectively the "Marks") are proprietary to tasc. You may not display or reproduce the Marks other than with the prior written consent of tasc, and you may not remove or otherwise modify any trademark notices from any content provided by tasc. The Marks are protected by trademark, trade dress, copyright, and various other intellectual property rights and unfair competition laws. Membership in the Level Up Community Program does not entitle members to use the Marks in commerce, without the express written consent of tasc.

LIABILITY AND PRIVACY

Liability Release

By participating in the Level Up Community Program, You, on behalf of yourself, your heirs, executors, and administrators, hereby release and agree to hold tasc and its affiliates and their successors, assigns, and licensees (the “Released Parties”) harmless from and against any and all costs, injuries, losses, or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to your participation in Level Up Community Program. You agree that You are in good physical condition and fully able to participate in the Level Up Community Program. You understand and acknowledge that tasc has not arranged for nor carries any insurance of any kind for your benefit or for the benefit of your heirs, executors, or administrators, and that You are solely responsible for obtaining and paying any life, health, travel, accident, or other insurance relative to your participation in Level Up Community Program. You agree that the above release shall be effective as a full and final general release of all legal claims described in the release, whether You actually know about such claims or not, despite the fact that the California Civil Code Section 1542 or a similar law in another state or other jurisdiction (where applicable) may provide otherwise. You are aware that Section 1542 provides as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” TO THE EXTENT, AS A MATTER OF APPLICABLE LAW, MEMBER CANNOT RELEASE tasc FROM OR LIMIT TASC’S LIABILITY, THE EXTENT OF TASC’S LIABILITY WILL BE THE MINIMUM PERMITTED UNDER SUCH LAW.

Additional Terms

• You agree that no joint venture, partnership, employment, or agency relationship exists between you and tasc as a result of these Terms, our Privacy Policy or the Level Up Community Program. Tasc’s performance of these Terms is subject to existing laws and legal process, and nothing contained in these Terms or our Privacy Policy is in derogation of tasc's right to comply with law enforcement requests or requirements relating to the Level Up Community Program or information provided to or gathered by tasc with respect to such participation.
• Indemnification: To the fullest extent permitted by applicable law, You shall indemnify, defend, and hold harmless tasc, its affiliates, and their officers, directors, employees, shareholders, agents, and representatives (collectively, “Indemnified Parties”) from and against any losses, liabilities, claims, expenses (including attorney’s fees) arising from (1) your application (including without limitation any misrepresentation made therein); (2) your breach of these terms and conditions; (3) your violation or infringement of any person or entity’s right, including without limitation, any intellectual property right, publicity, confidentiality, property, privacy, or contractual right; and (4) your violation of any statute, law, ordinance, regulation, rule, code, common law, order, or other requirements of law of any governmental authority.
• Members must refer to tasc, its products, employees, and representatives fairly and accurately and based upon actual, personal experiences with tasc and its products.

TO THE FULLEST EXTENT ERMITTED BY APPLICABLE LAW, MEMBER ACKNOWLEDGES AND AGREES, BY MEMBER’S PARTICIPATION IN THE PROGRAM AND USE OF RELATED WEBSITES, AS APPLICABLE, THAT MEMBER’S USE IS AT MEMBER’S SOLE RISK, THAT MEMBER ASSUMES FULL RESPONSIBILITY FOR ALL COSTS ASSOCIATED WITH ALL NECESSARY SERVICING OR REPAIRS OF ANY EQUIPMENT MEMBER USES IN CONNECTION WITH MEMBER’S USE, AND THAT TASC AND ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS, AND LICENSORS (COLLECTIVELY "REPRESENTATIVES") SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND RELATED TO MEMBER’S USE OF THIS WEBSITE OR TASC’S MOBILE APPLICATIONS OR MEMBER’S PARTICIPATION IN THE PROGRAM.
• IN PARTICULAR AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TASC AND ITS
  REPRESENTATIVES MAKE NO REPRESENTATIONS OR WARRANTIES OR OTHER ASSURANCES ABOUT THE ACCURACY OR COMPLETENESS OF CONTENT AVAILABLE ON OR THROUGH THE PROGRAM OR RELATED WEBSITES, OR THE CONTENT OF ANY WEBSITES OR ONLINE SERVICES LINKED TO OR INTEGRATED WITH THE WEBSITE OR MOBILE APPLICATIONS.
